BLUE ARCTIC - MASTER SERVICE AGREEMENT (MSA)

EFFECTIVE DATE: THIS TERMS OF SERVICE WAS LAST UPDATED ON SEPTEMBER 2025.

This Master Service Agreement (“Agreement” or “MSA”) constitutes a binding legal contract between Blue Arctic, LLC, a United States limited liability company doing business as Blue Arctic (“Blue Arctic,” “we,” “us,” or “our”), and the subscriber of Services (“Client,” “you,” or “your”). By subscribing to, accessing, or using any Services provided by Blue Arctic, the Client acknowledges and agrees to be legally bound by this Master Service Agreement and all documents incorporated herein by reference.

1. Incorporation of Related Agreements

This MSA expressly incorporates and includes the following agreements, each of which governs specific aspects of the relationship between Blue Arctic and the Client:

The Terms of Service (TOS), which set forth the general terms and conditions under which Services are provided.
The Acceptable Use Policy (AUP), which governs the acceptable and prohibited uses of Blue Arctic’s Services and network.
The Service Level Agreement (SLA), which establishes performance commitments and remedies in the event of service failures.
The Privacy Policy (PP), which governs the collection, use, processing, and protection of personal data.

Together with this MSA, the TOS, AUP, SLA, and Privacy Policy constitute the entire agreement between Blue Arctic and the Client (collectively, the “Agreement Documents”). In the event of any conflict among the Agreement Documents, the provisions of the Terms of Service shall prevail, unless expressly stated otherwise.

2. Binding Effect

By ordering, subscribing to, or using any Service, the Client affirms that it has read, understood, and agrees to be bound by the Agreement Documents. If the Client is entering into this Agreement on behalf of a company or other legal entity, the Client represents and warrants that it has the authority to bind such entity to this Agreement, in which case “Client” shall refer to such entity.

3. Amendments and Modifications

Blue Arctic reserves the right to amend, modify, or update any of the Agreement Documents at any time, in its sole discretion. Such changes shall become effective immediately upon posting on Blue Arctic’s Website. The Client’s continued use of the Services following any such modification shall constitute acceptance of the updated terms. It is the Client’s responsibility to review the Agreement Documents regularly and remain informed of any changes.

4. Governing Law and Jurisdiction

This Master Service Agreement, together with all Agreement Documents, shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. The parties agree that exclusive jurisdiction and venue for any action, proceeding, or dispute arising under or relating to this Agreement shall lie in the state and federal courts located in Orange County, Florida.

5. Entire Agreement

This MSA, together with the incorporated Agreement Documents, represents the entire agreement between Blue Arctic and the Client with respect to the Services and supersedes all prior or contemporaneous negotiations, discussions, representations, warranties, understandings, and agreements, whether written or oral, relating to its subject matter.

No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and no failure of Blue Arctic to assert any right or provision under this Agreement shall constitute a waiver of such right or provision.
